Overview
Estonia's e-Business Register allows companies to be incorporated online in a matter of hours and provides publicly accessible company data through a single centralised platform. Nearly all legal entities — commercial companies, sole proprietors, non-profit associations, and foundations — are registered and managed electronically.
For KYB and compliance professionals, Estonia is one of the more transparent registers in Europe. Company profile data, legal representatives, and shareholder information are publicly accessible online, with most basic data available free of charge. Financial statements filed as part of annual reports are also publicly available. Access to beneficial ownership data was restricted in 2025 following the 2022 CJEU ruling on EU UBO registers; access is now limited to authorities, AML-obliged entities, and parties demonstrating a legitimate interest.
Official Registers
Äriregister (Commercial Register) — e-Business Register
The e-Business Register (e-Äriregister) is Estonia's central commercial register, maintained by the Registrite ja Infosüsteemide Keskus (RIK — Centre of Registers and Information Systems) under the authority of the Ministry of Justice. The register is based on the database of the registration departments of county courts, ensuring legal oversight and the independent status of the registrar.
The e-Business Register contains details of all legal persons registered in Estonia in a single environment. It covers commercial companies (osaühing / OÜ, aktsiaselts / AS, täisühing / TÜ, usaldusühing / UÜ), sole proprietors (füüsilisest isikust ettevõtja / FIE), branches of foreign companies, cooperatives, and European legal forms (SE, SCE, EEIG). Data is updated in real time as changes are filed.
Information available through the e-Business Register includes:
- Legal name, registration number, and date of registration
- Legal form and status (active, in liquidation, deleted)
- Registered office address
- Share capital
- Activity codes (EMTAK, mapped to NACE)
- Names and roles of management board members, supervisory board members, and authorised signatories
- Shareholder information (for OÜ and AS)
- Beneficial ownership data
- Filed documents, including articles of association and annual reports
Basic data (registry card information, general data, and tax debt status) can be consulted free of charge. More detailed data, including annual reports, articles of association, and other filed documents, are available for a fee. The register also provides access to company information from other European countries via the European Business Register interconnection.
Estonian, Finnish, Latvian, and Belgian citizens, as well as Estonian e-residents, can log in to the portal using their national ID cards and submit applications, amendments, and annual reports directly online.
Mittetulundusühingute ja sihtasutuste register (Register of Non-Profit Associations and Foundations)
The register of non-profit associations and foundations is also maintained by RIK and accessible through the same e-Business Register portal. It holds information on non-profit associations (mittetulundusühing / MTÜ), foundations (sihtasutus / SA), political parties (erakond), trade unions (ametiühing), churches, congregations, associations of congregations, and monasteries. It also includes the register of housing associations (korteriühistu / KÜ) and land improvement associations (maaparandusühistu / MPÜ).
The access conditions and data structure mirror those of the Commercial Register, with the same digital filing and consultation framework.
Beneficial Ownership Data
Estonia does not maintain a separate beneficial ownership register. Instead, UBO data is integrated directly into the e-Business Register. The obligation to collect and disclose beneficial ownership information has been in force since 1 September 2018, under the Money Laundering and Terrorist Financing Prevention Act (Rahapesu ja terrorismi rahastamise tõkestamise seadus). Companies must register their UBOs within 30 days of any change and confirm the data each time an annual report is submitted.
Following the 2022 CJEU ruling that struck down unlimited public access to beneficial ownership registers across the EU, Estonia restricted public access to UBO data in 2025. The register reopened in January 2026 under a tiered access model: access is limited to competent authorities, AML-obliged entities (such as credit institutions and financial service providers acting in the course of customer due diligence), and other parties who can demonstrate a legitimate interest. General public access is no longer available. The data covered includes the beneficial owner's name, date of birth, nationality, country of residence, and the nature and extent of the beneficial interest held.
Entities exempt from UBO filing obligations include apartment associations (korteriühistu), building associations, companies listed on a regulated market, and foundations with no economic activity. Sole proprietors (FIE), being natural persons, are also not required to file UBO data.
Failure to comply with UBO registration obligations can result in fines of up to €32,000 for the company and up to €1,200 for each management board member.
Registration and Publication Requirements
Commercial companies
Registration with the Commercial Register is mandatory for all commercial companies. The most common legal forms are the osaühing (OÜ — private limited company, minimum share capital €2,500, though payment may be deferred) and the aktsiaselts (AS — public limited company, minimum share capital €25,000). Other forms include the täisühing (TÜ — general partnership) and usaldusühing (UÜ — limited partnership).
Annual reports must be filed by all commercial companies, regardless of size or activity level. The deadline is six months after the end of the financial year (typically 30 June for calendar-year entities). Reports are submitted digitally through the e-Business Register and become publicly accessible. Micro and small enterprises may prepare abridged financial statements (balance sheet and income statement with notes), while medium-sized and large undertakings must file full annual reports including a management report, balance sheet, income statement, cash flow statement, statement of changes in equity, and notes. Repeated failure to file can result in fines and eventual compulsory dissolution from the register.
UBO declarations are mandatory for all commercial companies and must be updated within 30 days of any change.
Sole proprietors (FIE)
Sole proprietors (füüsilisest isikust ettevõtja / FIE) must register with the Commercial Register. They are subject to annual reporting obligations. However, since FIEs are natural persons rather than separate legal entities, they are not required to file UBO data and shareholder information is not applicable.
Non-profit associations and foundations
Non-profit associations (MTÜ) and foundations (SA) must register with the Register of Non-Profit Associations and Foundations. They are required to file annual reports and are subject to UBO obligations, with the exception of foundations that have no economic activity. Political parties, trade unions, and religious organisations registered as non-profit associations follow the same framework.
Cooperatives
Cooperatives, including commercial cooperatives (tulundusühistu / TÜH) and apartment associations (korteriühistu / KÜ), must register and file annual reports. Apartment associations are exempt from UBO filing.

Note: shareholder data is available for OÜ, AS, TÜ, and UÜ. FIE (sole proprietors), MTÜ (non-profits), SA (foundations), and cooperatives do not have shareholders.
UBO (Ultimate Beneficial Ownership)
UBO data is sourced from the Commercial Register (Äriregister) and is available for OÜ, AS, TÜ, UÜ, and branches of foreign companies. Non-profit associations (MTÜ) and foundations (SA) are registered in a separate register that is not covered by this integration. UBO data is automatically deleted by RIK five years after an entity is removed from the register.
