As a US state, Illinois operates within the broader federal framework. Illinois Secretary of State — Business Services

The Illinois Secretary of State, Business Services division is the authoritative register for all formally organised business entities in the state. It maintains records for domestic and foreign corporations, LLCs, limited partnerships (LPs), limited liability partnerships (LLPs), and not-for-profit corporations.

The register provides:

  • Entity name and any assumed business names
  • File number
  • Date of incorporation or registration
  • Entity type and legal form
  • Registered agent name and address
  • Principal office address
  • Entity status (active, dissolved, revoked, etc.)

The register is searchable online at no cost. Users can look up entities by name or file number. The Secretary of State also issues certificates of good standing and certified copies of filed documents upon request, typically for a fee.

Cook County Clerk — Assumed Business Name Registration

Sole proprietors and general partnerships operating under an assumed name (i.e. a name other than the owner's legal name) must register with the county clerk in the county where they operate. In the Chicago metropolitan area, this is the Cook County Clerk's Office. This registration does not create a separate legal entity but provides a public record linking the business name to its owner(s).

FinCEN — Beneficial Ownership Information (Federal)

Beneficial ownership reporting in the United States is governed at the federal level under the Corporate Transparency Act (CTA), which took effect on January 1, 2024. The CTA requires certain entities (referred to as "reporting companies") to file beneficial ownership information (BOI) reports with the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury.

A reporting company must disclose information about each beneficial owner who directly or indirectly exercises substantial control over the entity or owns or controls at least 25% of its ownership interests.

Following an interim final rule issued in March 2025, FinCEN exempted all U.S.-domestic entities and U.S. persons from BOI reporting. The obligation now applies only to certain foreign companies registered to do business in the U.S. that do not qualify for one of the enumerated exemptions (covering large operating companies, regulated financial institutions, tax-exempt entities, and others).

The BOI database maintained by FinCEN is not publicly accessible; it is available only to authorized government agencies and, under certain conditions, to financial institutions with customer consent. There is no public UBO register for U.S. entities equivalent to those found in EU member states.

Registration and Publication Requirements

Corporations and LLCs

All corporations (both for-profit and not-for-profit) and LLCs must file articles of incorporation or articles of organisation with the Illinois Secretary of State before commencing operations. These filings include the entity's name, registered agent details, principal office address, purpose, and, for corporations, the names of the initial board of directors.

Annual reports: Every LLC, corporation, and other registered entity must file an annual report with the Secretary of State to remain in good standing. The filing deadline is based on the entity's formation month (anniversary-based system). The LLC annual report fee is $75, reduced from $250 in 2024. Corporations pay a $75 annual report fee plus a franchise tax calculated on paid-in capital. Failure to file can result in penalties, administrative dissolution, or revocation of authority to do business.

Financial statements: There is no general obligation for private companies in Illinois to file financial statements publicly. Financial reporting obligations are met through federal and state tax filings, which are not public records. Only publicly traded companies are subject to public financial disclosure requirements under federal securities law (SEC filings).

UBO reporting: Beneficial ownership reporting is a federal requirement under the Corporate Transparency Act, filed with FinCEN rather than the state. Following FinCEN's March 2025 interim final rule, US-domestic corporations and LLCs, including those formed in Illinois, are no longer required to file BOI; the obligation now applies only to certain foreign companies registered to do business in the US.

Sole Proprietors

Sole proprietorships are the most common business structure in Illinois. There are no registration requirements with the Secretary of State for sole proprietors. A sole proprietor operating under an assumed name must register that name with the relevant county clerk's office. Sole proprietors are not required to file annual reports or public financial statements. UBO reporting under the CTA does not apply to sole proprietorships, as they are not separate legal entities.

Partnerships

General partnerships are not required to register with the Secretary of State, though those operating under an assumed name must register with the county clerk. Limited partnerships (LPs), limited liability partnerships (LLPs), and limited liability limited partnerships (LLLPs) must file formation or registration documents with the Secretary of State and are subject to annual reporting requirements.

Not-for-Profit Corporations

Not-for-profit corporations must file articles of incorporation with the Secretary of State and submit annual reports. They are subject to the same registration framework as for-profit corporations, though filing fees may differ.
