Overview
New Jersey maintains its official business registry through the Division of Revenue & Enterprise Services (DORES), a unit within the New Jersey Department of the Treasury. DORES registers corporations, limited liability companies (LLCs), limited partnerships (LPs), limited liability partnerships (LLPs), and other business entities formed or authorized to do business in the state.
For KYB (Know Your Business) and AML (Anti-Money Laundering) professionals, New Jersey provides free online access to basic entity information through its Business Entity Search portal. Private companies are not required to file financial statements with the state, and beneficial ownership reporting is handled at the federal level through FinCEN rather than by New Jersey itself.
Official Registers
Division of Revenue & Enterprise Services (DORES)
The Division of Revenue & Enterprise Services is New Jersey's primary business registry, maintained under the Department of the Treasury. It is the official filing authority for all entities formed or registered to do business in the state.
DORES registers domestic and foreign corporations (for-profit and nonprofit), limited liability companies, limited partnerships, limited liability partnerships, and other statutory entity types. The registry also processes trade name certificates for entities operating under names other than their legal names (though sole proprietorships and general partnerships register trade names at the county level).
The free NJ Business Entity Search portal allows the public to look up entities by business name or identification number. Information available through the portal includes:
- Entity name and type
- NJ identification number
- Date of incorporation or registration
- Entity status (active, revoked, dissolved, etc.)
- Registered agent information
- Recent filings (articles, amendments, mergers, and annual reports)
Searches are free and open to the public without restriction. Certified copies and additional documents (such as certificates of good standing) are available for a fee.
County Clerk Offices: Trade Name Registration
Sole proprietorships and general partnerships that operate under a name other than the owner's legal name must register a Trade Name Certificate with the county clerk's office in each county where the business operates. This registration is separate from the DORES filing system and is maintained at the county level. Corporations, LLCs, and other statutory entities are not required to file trade name certificates at the county level; they register directly with DORES.
Division of Consumer Affairs: Charitable Registration
Nonprofit organizations that solicit contributions in New Jersey must register with the Division of Consumer Affairs, Charities Registration Section. Certain exemptions exist for religious organizations and affiliated charitable entities. The charities register is publicly searchable and maintained separately from the DORES business entity registry.
FinCEN: Beneficial Ownership Information (Federal)
Beneficial ownership reporting in the United States is handled at the federal level through the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury. Under the Corporate Transparency Act (CTA), certain companies (including corporations and LLCs) must report information about their beneficial owners to FinCEN.
Following an interim final rule issued in March 2025, FinCEN exempted all U.S.-domestic entities and U.S. persons from BOI reporting. The obligation now applies only to certain foreign companies registered to do business in the United States that do not qualify for one of the enumerated exemptions (covering large operating companies, regulated financial institutions, tax-exempt entities, and others).
BOI data filed with FinCEN is not publicly accessible. Access is restricted to authorized government agencies and, under prescribed conditions, financial institutions performing customer due diligence. There is no public UBO register for New Jersey entities.
Registration and Publication Requirements
Corporations and LLCs
All domestic and foreign corporations (for-profit and nonprofit) and LLCs must register with DORES by filing the appropriate formation or qualification documents (e.g., Certificate of Incorporation for corporations, Certificate of Formation for LLCs). Each entity must designate a registered agent in New Jersey.
Annual reports: Corporations and LLCs must file an annual report to maintain good standing. The report is due by the last day of the anniversary month of the entity's formation, with a filing fee of $75. Failure to file may result in revocation of the entity's authority to do business.
Financial statements: New Jersey does not require private companies to file financial statements with the state registry. Financial statements of private entities are not publicly accessible through DORES.
UBO declaration: Beneficial ownership reporting is a federal requirement under the Corporate Transparency Act, filed with FinCEN rather than with the state. Under the March 2025 interim rule, domestic entities are currently exempt from filing.
Partnerships
Limited partnerships (LPs) and limited liability partnerships (LLPs) must register with DORES. Foreign partnerships doing business in New Jersey must also register. Partnerships are subject to annual reporting requirements consistent with those for other registered entities.
As with corporations and LLCs, partnerships do not file financial statements with the state.
Sole Proprietorships
Sole proprietorships are not required to register with DORES. If a sole proprietor operates under a name other than their own legal name, they must file a Trade Name Certificate with the county clerk's office in the county (or counties) where they conduct business. Sole proprietors must also obtain a federal Employer Identification Number (EIN) for tax purposes or use their Social Security Number.
Because sole proprietorships have no DORES record, structured data on these entities is generally not available through the state's business entity search.
Nonprofit Organizations and Associations
Nonprofit corporations must register with DORES and file annual reports. Charitable organizations that solicit contributions must additionally register with the Division of Consumer Affairs. Certain exemptions apply for religious corporations, trusts, foundations, and organizations established for religious purposes, as well as for affiliated charitable entities supervised or controlled by a registered parent organization.

Shareholders, beneficial ownership data, financial statements, and assumed names (trade names are filed at the county clerk) are not available through New Jersey's register.
