Overview
Ohio maintains its business entity register through the Ohio Secretary of State. As in every U.S. state, each state administers its own corporate registry. The Ohio Secretary of State's Corporations Section handles entity formation, registration, and the maintenance of business records.
The register covers corporations, limited liability companies (LLCs), limited partnerships (LPs), limited liability partnerships (LLPs), cooperatives, and other formally organized business entities. Ohio does not require private companies to file annual financial statements with any state authority, and there is no public repository of company accounts at the state level. Beneficial ownership information is handled federally through the Financial Crimes Enforcement Network (FinCEN) under the Corporate Transparency Act (CTA), not through the state register.
For KYB and AML compliance, the Secretary of State's online portal provides basic entity verification. Private companies file no public financial statements, and beneficial ownership reporting is federal-only.
Official Registers
Ohio Secretary of State — Business Entity Search
The Ohio Secretary of State maintains the official register of business entities through its online Business Search portal. The Corporations Section of the Business Services Division is responsible for processing and approving entity formations, amendments, mergers, consolidations, and dissolutions, as well as registering trademarks, trade names, service marks, and fictitious names.
The register stores every public filing for registered companies in Ohio. Users can look up entities, verify filing status, and confirm registration details directly from the state's online database. Searchable fields include business name, statutory agent name, and charter (entity) number. The system supports partial name matching and allows filtering by status: "All," "Active," "Cancelled," or "Dead."
Information maintained by the Corporations Section includes business names, names and addresses of statutory agents, incorporators' names, charter numbers, dates of incorporation, and the number of authorized shares per corporation. The register is updated on an ongoing basis as filings are processed.
Unlike most U.S. states, Ohio does not require LLCs, LPs, or corporations to file annual or biennial reports with the Secretary of State. LLPs and professional associations must file a Biennial Report (due between April 1 and June 30 of odd-numbered years, with a $25 filing fee), and nonprofit corporations must file a Statement of Continued Existence every five years. For most entity types, the register reflects formation and amendment filings only, with no periodic refresh.
Ohio Auditor of State — Financial Reporting
The Ohio Auditor of State oversees financial reporting for local public offices (municipalities, counties, school districts, and other governmental entities), not private companies. Public entities must file annual financial statements with the Auditor of State: GAAP-basis filers within 150 days of fiscal year-end, and other entities within 60 days, under Ohio Revised Code §117.38.
This office has no jurisdiction over private company financial reporting. Private companies in Ohio have no state-level obligation to file or publish financial statements.
FinCEN — Beneficial Ownership Information (Federal)
Beneficial ownership reporting in the United States is governed federally under the Corporate Transparency Act (CTA), which took effect on January 1, 2024. The CTA requires certain entities (called "reporting companies") to file beneficial ownership information (BOI) reports with the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury.
A reporting company must disclose information about each beneficial owner who directly or indirectly exercises substantial control over the entity or owns or controls at least 25% of its ownership interests.
Following an interim final rule issued in March 2025, FinCEN exempted all U.S.-domestic entities and U.S. persons from BOI reporting. The obligation now applies only to certain foreign companies registered to do business in the U.S. that do not qualify for one of the enumerated exemptions (covering large operating companies, regulated financial institutions, tax-exempt entities, and others).
The BOI database maintained by FinCEN is not publicly accessible; it is available only to authorized government agencies and, under certain conditions, to financial institutions with customer consent. There is no public UBO register for U.S. entities.
Registration and Publication Requirements
Corporations and LLCs
All Ohio corporations (for-profit and nonprofit) and LLCs must file formation documents with the Secretary of State: Articles of Incorporation for corporations, Articles of Organization for LLCs. Foreign entities formed in another state or country must register before transacting business in Ohio.
Articles of incorporation for nonprofit corporations must include the corporation's name, the place in Ohio where the principal office is to be located, and the purpose of the corporation, as set out in Ohio Revised Code §1702.04. Additional provisions such as initial directors and members may also be included.
Ohio does not require LLCs or corporations to file annual or biennial reports with the Secretary of State. There is no state-level obligation for private companies to file or publish financial statements. Tax filings are made to the Ohio Department of Taxation and the IRS, but these are not publicly accessible.
Sole Traders (Sole Proprietorships)
Sole proprietorships in Ohio are not required to register with the Secretary of State. A sole proprietorship forms automatically when an individual begins conducting business. If a sole proprietor operates under a name other than their legal name, they must register a trade name or fictitious name by filing a Name Registration form with the Secretary of State.
Sole proprietors may need to obtain a vendor's license for sales tax purposes. Local business licenses or permits may be required depending on the nature and location of the business. There is no obligation to file public financial statements.
Partnerships
General partnerships in Ohio are not required to register the entity itself with the Secretary of State, though they must register a trade or fictitious name if operating under one. Limited partnerships (LPs) must file a Certificate of Limited Partnership. Limited liability partnerships (LLPs), along with professional associations, must register and file a Biennial Report with the Secretary of State (due between April 1 and June 30 of odd-numbered years, fee: $25).
Cooperatives and Associations
Cooperatives formed under Chapter 1729 of the Ohio Revised Code must register with the Secretary of State. Their name must include a word or abbreviation such as "cooperative," "co-op," "association," "company," "incorporated," or "corporation." No other business entity may use the word "cooperative" or "co-op" unless organized under Chapter 1729 or operating as a bona fide cooperative.
Nonprofit associations may register with the Secretary of State depending on their legal form and structure. Charitable organizations are subject to separate registration requirements under Ohio's charitable solicitation laws.
Nonprofit corporations carry one ongoing obligation the for-profit forms do not: they must file a Statement of Continued Existence with the Secretary of State every five years (a $25 filing). A nonprofit that fails to file within 30 days of its due date is subject to administrative dissolution ("cancellation") of its registration.

Ohio does not collect ownership, shareholder, or UBO information at the state level. The absence of annual reporting requirements for most entity types means that statutory-agent and address details may only be current as of the most recent filing.
