Overview
Pennsylvania maintains a centralized business registration system through its Department of State, specifically the Bureau of Corporations and Charitable Organizations (BCCO). As one of the largest US states by economic activity, Pennsylvania's registry covers a broad range of entity types, including corporations, limited liability companies, partnerships, and nonprofit organizations.
For KYB (Know Your Business) and AML (Anti-Money Laundering) professionals, Pennsylvania provides free online access to basic entity information. However, the state's framework differs from many international jurisdictions in that private companies are generally not required to file financial statements publicly, and beneficial ownership reporting is handled at the federal level rather than by the state. Annual reporting requirements took effect January 1, 2025, replacing the previous decennial (every 10 years) system.
Official Registers
Department of State – Bureau of Corporations and Charitable Organizations (BCCO)
The Bureau of Corporations and Charitable Organizations is Pennsylvania's primary business registry, maintained by the Department of State. It serves as the official record keeper of business documents for all entities formed or registered to do business in the Commonwealth.
The BCCO registers domestic and foreign corporations (for-profit and nonprofit), limited liability companies (LLCs), limited partnerships (LPs), limited liability partnerships (LLPs), limited liability limited partnerships (LLLPs), general partnerships (GPs), and business trusts. The bureau also handles fictitious name registrations.
The registry provides several types of information:
- Entity name and type
- Registered office address
- Status (active, dissolved, etc.)
- Date of incorporation or registration
- Registered agent information
Basic entity searches are available free of charge through the Business Filing Services online portal. The bureau also provides information by telephone, receiving in excess of 6,000 calls per week, most of which relate to entity information or name availability queries. No fee is assessed for telephone information.
Starting January 1, 2025, the bureau now requires annual reports from most registered entities, replacing the former decennial report system. Filing deadlines vary by entity type: June 30 for corporations, September 30 for LLCs, and December 31 for other entity types.
FinCEN – Beneficial Ownership Information (Federal)
Beneficial ownership reporting in the United States is handled at the federal level through the Financial Crimes Enforcement Network (FinCEN), a bureau of the U.S. Department of the Treasury. Under the Corporate Transparency Act (CTA), many companies must report information about their beneficial owners, the individuals who ultimately own or control the company.
Following an interim final rule issued in March 2025, FinCEN exempted all U.S.-domestic entities and U.S. persons from BOI reporting. The obligation now applies only to certain foreign companies registered to do business in the U.S. that do not qualify for one of the enumerated exemptions (covering large operating companies, regulated financial institutions, tax-exempt entities, and others).
Regardless of scope, BOI data filed with FinCEN is not publicly accessible. Access is restricted to authorized government agencies and, under prescribed conditions, financial institutions performing customer due diligence. There is no public UBO register for U.S. entities equivalent to those found in EU member states.
Registration and Publication Requirements
Corporations and LLCs
All domestic and foreign corporations (for-profit and nonprofit) and LLCs must register with the BCCO. Registration requires filing articles of incorporation (for corporations) or a certificate of organization (for LLCs) with the Department of State. Every entity must maintain a registered office address in Pennsylvania (P.O. boxes are not permitted); entities without a physical location may use a Commercial Registered Office Provider (CROP).
Annual reports: As of 2025, all active domestic and foreign corporations and LLCs must file an annual report. The filing fee is $7 for most entities. Nonprofit entities are exempt from the filing fee. Failure to file may result in administrative consequences beginning in 2027.
Financial statements: Pennsylvania does not require private companies to file financial statements with the state registry. Financial statements of private entities are not publicly accessible through the BCCO.
UBO declaration: Beneficial ownership reporting is a federal requirement under the Corporate Transparency Act, filed with FinCEN rather than the state. Entities dissolved under state law prior to January 1, 2024, are exempt from filing.
Partnerships
Limited partnerships (LPs), limited liability partnerships (LLPs), limited liability limited partnerships (LLLPs), and general partnerships (GPs) must register with the BCCO. Foreign partnerships doing business in Pennsylvania must also register.
Partnerships are subject to the new annual reporting requirement with a December 31 filing deadline. As with corporations and LLCs, financial statements are not filed with the state.
Sole Proprietorships
Sole proprietorships are not required to register as a formal entity with the Department of State. However, if a sole proprietor operates under a name other than their own legal name, they must file a fictitious name registration with the BCCO. Sole proprietors also need a federal Employer Identification Number (EIN) for tax purposes.
Sole proprietors are generally not subject to the federal beneficial ownership reporting requirement unless they operate through an LLC structure. A single-member LLC filing as a sole proprietor does qualify as a reporting entity under the Corporate Transparency Act.
Nonprofit Corporations and Associations
Nonprofit corporations must register with the BCCO and are subject to the new annual reporting requirement (with no filing fee). Charitable organizations that solicit contributions must additionally register under Pennsylvania's charitable solicitation laws, though certain exemptions apply for religious organizations, school districts, and specific nonprofit categories.
Associations that wish to do business formally in Pennsylvania may register with the BCCO. Foreign associations must register before conducting business in the Commonwealth.
