Business Registers in Portugal: Certidão Permanente, Registo Comercial & RCBE

Overview

Portugal's company information is managed by the Ministry of Justice through a centralised system of official registers. The key document for KYB workflows is the certidão permanente, a continuously-updated certified extract from the commercial register that replaces the older static certificate. Each certidão permanente is identified by a 12-digit access code that anyone can use to consult the document online without authentication, making it easy to share with counterparties and compliance teams.

For KYB and AML professionals, Portugal offers solid coverage of company identity, officers, and shareholders. The cost model is per-document rather than per-search, and documents need to be purchased fresh when validity expires.

Official Registers

Portugal's corporate information is managed through several official registers, each with different purposes and access conditions.

Portal da Justiça (Justice Portal)

This is Portugal's official journal for company information. Available at https://publicacoes.mj.pt, this portal publishes official notices on company documents and changes. The portal allows public searches with free access to these notices, mainly using the company's NIPC as a search parameter.

However, the portal has significant limitations. In addition to its somewhat complicated navigation, it does not present an up-to-date company extract. To get current information on a company, its directors and shareholders, you'll need to retrieve all notes, analyse them in full, and reconstruct the current state manually.

Despite these limitations, Portal da Justiça remains a valuable tool for tracking corporate events without purchasing certificates.

Registo Comercial Online

Registo Comercial Online is Portugal's central register for official company documentation. This platform provides access to the certidão permanente, articles of association, and other official documents.

Certidão permanente. The certidão permanente is the main certified company extract, continuously updated as new filings are processed. It is available in three variants:

  • Registo only: company identity, legal status, officers, shareholders, and capital history
  • Registo + documents: the above plus access to the underlying filed documents
  • Pacto social / Estatutos only: articles of association without the full register record

Each certidão permanente carries a 12-digit access code. Holders of the code can view the certificate online at no additional cost and without authentication; only the initial ordering requires login and payment. The access code makes the document easy to share with counterparties, lenders, or compliance teams.

A separate Cartão da Empresa (Company Card) provides a quick-reference identity summary — legal name, NIPC, address, and legal form — but is not a substitute for the certidão permanente in legal or compliance contexts.

Registo Central do Beneficiário Efetivo (RCBE)

The Registo Central do Beneficiário Efetivo (RCBE), accessible at https://rcbe.justica.gov.pt, is Portugal's central register of beneficial owners. Created to comply with European anti-money laundering directives, this register theoretically increases transparency of ownership, but has practical obstacles to access.

Access requires authentication via Cartão de Cidadão (citizen card) or Chave Móvel Digital (digital mobile key). This limits access in practice to Portuguese nationals and residents with valid national credentials, which is a significant obstacle for international compliance teams.

The UBO register covers all companies, with the exception of listed entities (which are subject to separate transparency requirements).

Registration and Publication Requirements

Sole traders (Empresário em Nome Individual, ENI)

Sole traders register with the Tax Authority (Autoridade Tributária, AT) for tax purposes. Registration with the Registo Comercial is required only if the trader operates under a trade name. Sole traders are not required to file annual accounts publicly. UBO obligations do not apply, as sole traders are natural persons.

Associations

Associations (associações) acquire legal personality by adopting statutes and registering with the Registo Nacional de Pessoas Coletivas (RNPC). They must file annual accounts with the Tax Authority and are subject to UBO declarations where a beneficial owner meeting the 25% threshold exists.

Companies

All commercial companies must register with the Registo Comercial before commencing activity. The main legal forms are the Sociedade por Quotas (Lda.) (private limited company, the most common form) and the Sociedade Anónima (S.A.) (public limited company), alongside general partnerships (Sociedade em Nome Coletivo) and limited partnerships (Sociedade em Comandita).

Companies must submit annual accounts to the Tax Authority via the Informação Empresarial Simplificada (IES) declaration within 15 days of approval (typically by 15 July for calendar-year companies). Filings are mandatory and publicly accessible through the Ministry of Finance portal.

UBO declarations are filed with the RCBE and must be updated annually or within 30 days of any change in beneficial ownership.
