Business Registers in Serbia: Agencija za privredne registre (APR)

Overview

Serbia's business registration system is centralised through the Agencija za privredne registre (APR), the Serbian Business Registers Agency. Established in 2005 and operating under the Ministry of Economy, the APR maintains a single registry covering commercial companies, sole traders (entrepreneurs), associations, foundations, endowments, and institutions. The APR assigns each registered entity a registration number (матични број) and a tax identification number (PIB), and records all subsequent changes in company data.

Financial statements are filed and published through a dedicated APR portal, the Register of Financial Statements (Регистар финансијских извештаја). Serbia also maintains a Central Register of Beneficial Owners, administered by the APR. A new Law on the Central Register of Beneficial Owners was enacted on 14 March 2025, with most provisions applicable from 1 October 2025, strengthening disclosure requirements.

For KYB and AML due diligence, Serbia is a transparent jurisdiction: basic company data is freely searchable online, financial statements are publicly accessible, and beneficial ownership information is recorded centrally. The main limitation is that UBO data access is restricted to authorised users.

Official Registers

Agencija za privredne registre (APR) / Serbian Business Registers Agency

The APR is Serbia's sole central registry for business entities. It was established by the Law on Business Registers (Official Gazette No. 55/2004 and subsequent amendments) and operates under the Law on Registration with the SBRA and the Law on Companies.

The APR maintains several sub-registers covering different entity types:

  • Registar privrednih društava (Register of Business Entities): limited liability companies (DOO), joint stock companies (AD), general partnerships (OD), limited partnerships (KD), public enterprises (JP), cooperatives, and branches and representative offices of foreign companies
  • Registar preduzetnika (Register of Entrepreneurs): sole traders
  • Registar udruženja (Register of Associations): associations and sports associations
  • Registar fondacija i zadužbina (Register of Foundations and Endowments)
  • Registar ustanova (Register of Institutions)

The register provides the following data per entity: full registered name, registration number (матични број), PIB, legal form, registered address, date of registration, entity status (active, dissolved, in bankruptcy, in liquidation), authorised persons (directors, statutory representatives), shareholders and ownership percentages, registered activity code (NACE-based), and share capital. The register is searchable online free of charge and without requiring an account. Certified extracts with a digital signature are available for a fee ranging from approximately RSD 450 to RSD 1,800 (roughly USD 4–17).

Registar finansijskih izvještaja / Register of Financial Statements

The APR maintains a separate portal at fin.apr.gov.rs for collecting and publishing annual financial statements. All legal entities and entrepreneurs subject to accounting obligations must file their financial statements electronically through this portal. Financial statements are publicly accessible and can be downloaded free of charge. The register holds annual financial statements from financial year 2016 onward for most entities.

Serbian accounting standards are based on IFRS. Large entities and public companies apply full IFRS, while small and micro entities may apply IFRS for SMEs or simplified Serbian accounting standards.

Centralna evidencija stvarnih vlasnika / Central Register of Beneficial Owners

The APR also administers the Central Register of Beneficial Owners, established under the Law on the Central Register of Beneficial Owners. This register records the natural persons who ultimately own or control registered entities: individuals holding directly or indirectly at least 25% of shares, voting rights, or other rights, or who otherwise exert significant influence over decision-making.

The new Law on the Central Register of Beneficial Owners was enacted on 14 March 2025 (Official Gazette No. 19/2025), with most provisions applicable from 1 October 2025. Under the new law, every individual who qualifies as a UBO under any statutory criterion must be registered (not just the individual satisfying a single criterion). Entities must upload supporting documentation, and foreign beneficial owners must provide passport copies. Entities already registered had until 30 November 2025 to comply with the new documentation obligations. The obligation extends to companies, branches and representative offices of foreign entities, foundations, endowments, and associations, and the new law broadens the scope to cover trusts and trust-like arrangements managed from Serbia. Non-compliance can result in fines and criminal penalties.

The UBO register is searchable online at no cost, though the depth of publicly accessible information is limited. Obliged entities under Serbia's AML framework, such as banks and other financial institutions, have broader access.

Registration and Publication Requirements

Commercial companies (DOO, AD, OD, KD)

All commercial companies must register with the APR before commencing operations. The incorporation act (a Resolution on Incorporation for single-shareholder DOOs or an Agreement on Incorporation for multi-shareholder DOOs) is filed together with the company's founding documents. Joint stock companies (AD) also file Articles of Association (Statut). The APR issues a registration number and PIB upon approval.

Annual financial statements are mandatory for all commercial entities. Regular annual financial statements and the accompanying statistical report must be filed by 31 March of the following year. Entities subject to audit must submit the auditor's report and the decision on adoption of financial statements by 30 June. Parent companies filing consolidated statements must do so by 30 April. Financial statements filed with the APR are publicly accessible.

Audit is mandatory for all medium and large companies, for small companies whose turnover exceeds approximately EUR 4.4 million, and for public companies regardless of size.

UBO registration is required for all commercial entities under the Central Register of Beneficial Owners. The new 2025 law mandates broader disclosure and supporting documentation.

Sole traders (Preduzetnici)

Sole traders (предузетник) are registered with the APR in the Register of Entrepreneurs. Registration can be completed entirely online. A sole trader is defined as a legally capable natural person who carries out an economic activity for the purpose of earning income. Sole traders receive a registration number and PIB through the same APR system.

Sole traders are subject to financial reporting obligations and must file annual financial statements with the APR, though the scope of their statements depends on their size classification and chosen tax regime.

Associations and foundations

Associations (удружења) must have at least three founders and are registered with the APR in the Register of Associations. They must appoint an association president or director and file a memorandum of association and by-laws (статут). Both Serbian and foreign natural persons and legal entities can act as founders.

Foundations (фондације) and endowments (задужбине) are registered in a separate APR sub-register. Both entity types are subject to UBO registration requirements.

Associations and foundations are not generally subject to the same financial reporting obligations as commercial entities, though specific obligations may apply depending on their activities and size.

Branches and representative offices of foreign entities

Foreign companies establishing a branch (огранак) or representative office (представништво) in Serbia must register with the APR. These entities are also subject to UBO disclosure requirements under the new 2025 law.
