Business Registers in Ukraine: ЄДР / USR (Unified State Register)

Overview

Ukraine's company information sits in a single register, the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Associations (Єдиний державний реєстр юридичних осіб, фізичних осіб-підприємців та громадських формувань), held by the Ministry of Justice of Ukraine. It is commonly abbreviated ЄДР, transliterated as EDR in compliance literature, and rendered USR when the English name is shortened. The government portal is hosted at usr.minjust.gov.ua, so searches under either abbreviation point to the same register. This guide uses EDR throughout. The register covers commercial companies, sole traders, nonprofits and civic organisations, and the Ukrainian branches of foreign companies in one system, distinguishing them through separate internal datasets rather than separate registers.

For KYB purposes, the EDR is also where beneficial ownership sits. Ukraine requires companies to declare their ultimate beneficial owners as part of their EDR filing, so ownership data is built into the same record as the rest of the company profile rather than living in a standalone register. The verification framework for UBO data was strengthened in mid-2025: Ministry of Justice Order No. 1173/5 of April 30, 2025 introduced enhanced procedures for verifying ownership filings, including new rules for entities that cannot be contacted at their registered address and a new registration action confirming the reliability of UBO information. The updated software was deployed on June 16, 2025.

Ukraine has also been in the process of absorbing the EDRPOU statistical register (maintained by Держстат) into the EDR itself, to eliminate duplication between the two systems. A public consultation on the transition ran until May 25, 2025. When complete, the Ministry of Justice's EDR will be the sole source for business registration codes, and the separate EDRPOU code assigned by Держстат will no longer exist as a distinct identifier.

Ukraine has been at war since February 2022, and a number of state and defence-linked enterprises do not appear in the open datasets the government publishes. Filings for entities in the conflict-affected eastern regions can also be delayed or incomplete for the affected years. Despite the wartime context, Ukraine has continued to develop its registration framework, making UBO data more reliably verifiable and consolidating register infrastructure.

Official Registers

EDR: Unified State Register

The Ministry of Justice runs a free public search at usr.minjust.gov.ua, searchable by name or registration code behind a captcha. The underlying data is also published as open data at data.gov.ua in three datasets:

  • UO (Юридичні особи): legal entities, including limited liability companies, joint-stock companies, cooperatives, nonprofits, state bodies and other company types, identified by an 8-digit EDRPOU code (Код ЄДРПОУ).
  • FOP (Фізичні особи-підприємці): individual entrepreneurs (sole traders), identified by an internal RECORD number.
  • FSU (Відокремлені підрозділи іноземних юридичних осіб): branches and representative offices of foreign companies, also identified by an EDRPOU code, in a dataset kept separate from UO.

Each EDR record carries the legal name, registration date, legal form, status, founders (where filed) and the current director or authorised signer. Registered address and activity (KVED) codes are part of the schema but are not reliably populated in the published exports. Address data is missing for a large share of entities, including many registered since independence in 1991.

Financial Statements

Since Resolution No. 407 of 3 March 2021, the State Tax Service publishes the annual financial statements filed alongside corporate tax returns. These cover the balance sheet and income statement for legal entities and are released as open data at data.gov.ua under a CC BY 4.0 licence, with filings available from 2021 onward. Public interest entities, public joint-stock companies and businesses in the extractive industries must report under IFRS; other companies may use Ukraine's national accounting standards (P(S)BO). Sole traders (FOP) do not file under this scheme.

Beneficial Ownership

Ukrainian law requires legal entities to identify and declare their ultimate beneficial owners to the state registrar. That declaration becomes part of the public EDR record. Coverage depends on the filing being kept current. Foreign branches and sole traders are not subject to the declaration requirement.

Registration and Publication Requirements

Companies

The limited liability company (Товариство з обмеженою відповідальністю, ТОВ) is Ukraine's standard commercial form, registered with a state registrar and recorded in the UO dataset under an EDRPOU code. Founders and their nominal capital contributions appear in the register where filed. Joint-stock companies (Акціонерне товариство, АТ) follow the same registration path; their structure traces back to the now-superseded ВАТ/ЗАТ (open/closed JSC) forms, which were phased out in favour of the unified АТ form. Partnerships (commandite and general) and agricultural farm enterprises also register in the UO dataset.

Individual Entrepreneurs

A sole trader (Фізична особа-підприємець, FOP) registers under their own name rather than a separate legal entity and is recorded in the FOP dataset under a RECORD number, exposed publicly with a `FOP-` prefix. FOP records have no share capital and no separate shareholder structure: the individual is, by legal nature, their own sole owner and representative.

Foreign Branches and Representative Offices

Branches (Філія) and representative offices (Представництво) of foreign companies register separately in the FSU dataset under an EDRPOU code. Registration of these entities was transferred from Держстат to the Ministry of Justice's EDR by Law No. 3257-IX, effective September 3, 2024, so the FSU dataset is now fully managed within the EDR rather than the statistical register. The foreign parent is recorded as the entity's sole owner, and its details (legal name, country, foreign registration number) are taken from the registration filing.

Nonprofits and Civic Organisations

Public organisations, charities, religious organisations, trade unions, political parties and associations all register within the UO dataset, alongside commercial entities. They carry the same EDRPOU-based identifier and follow the same disclosure rules for directors and founders as commercial entities, though many older or state-linked nonprofit forms list no individual founders at all.
