Overview
Wyoming attracts a large number of entity formations relative to its small population. The state maintains over one million registered business entities through a single centralized registry operated by the Wyoming Secretary of State, Business Division. The state imposes no corporate or personal income tax.
For KYB (Know Your Business) and AML (Anti-Money Laundering) professionals, Wyoming has a limited registry landscape. The Secretary of State's office provides free online access to basic entity information, but does not collect or publish financial statements, shareholder details, or beneficial ownership data. Private companies have no obligation to file financial statements publicly, and beneficial ownership reporting falls under the federal Corporate Transparency Act (CTA) administered by FinCEN rather than a state-level regime.
Official Registers
Wyoming Secretary of State – Business Division
The Business Division of the Wyoming Secretary of State is the sole official registry for business entities in Wyoming. All entity filings are processed through the WyoBiz portal (wyobiz.wyo.gov), which serves as both the online filing system and the public search interface.
The WyoBiz portal allows anyone to search for registered entities free of charge. Available information typically includes:
- Legal name and any registered fictitious (trade) names
- Entity type (with domestic/foreign distinction)
- Filing ID number
- Registration date (initial filing date)
- Entity status (active or inactive, with specific reason for inactivity)
- Principal office address and mailing address
- Registered agent name and address
- Standings (tax standing, registered agent standing, and other standings)
- Share capital details (for corporations: common and preferred shares with par value)
- Officers and directors (for corporations)
- Filing history (historical events and amendments)
- Formation jurisdiction (for foreign entities)
The database is updated in real time as filings are processed. Wyoming supports a broad range of entity types, including profit corporations, nonprofit corporations, limited liability companies (LLCs), limited partnerships, registered limited liability partnerships, statutory trusts, statutory foundations, and statutory close corporations. Both domestic and foreign variants are registered.
The Business Division does not collect or publish financial statements, activity codes (NAICS/SIC), shareholder information, or beneficial ownership data. Officer information varies by entity type: corporations typically disclose officers and directors, while LLCs may only show the organizer on file.
Trade Names and Trademarks
Trade names (DBAs) and trademarks are also filed with the Secretary of State through the WyoBiz portal. Sole proprietors operating under an assumed name may register a trade name, though this is distinct from forming a separate legal entity.
Federal Beneficial Ownership Reporting (FinCEN)
Wyoming does not maintain a state-level beneficial ownership register. However, under the federal Corporate Transparency Act (CTA), certain entities are required to file beneficial ownership information (BOI) reports with the Financial Crimes Enforcement Network (FinCEN). As of March 2025, FinCEN narrowed the scope of BOI reporting so that entities created in the United States and U.S. persons are generally exempt; the obligation now primarily applies to certain foreign companies registered to do business in the U.S. that do not qualify for an exemption.
BOI reporting is not an annual requirement: a report is submitted once, with updates filed only when information changes. The Wyoming Secretary of State's website provides guidance on FinCEN reporting obligations.
Registration and Publication Requirements
Corporations and LLCs
All corporations (profit and nonprofit) and LLCs, whether domestic or foreign, must register with the Secretary of State by filing formation documents. Corporations file Articles of Incorporation, while LLCs file Articles of Organization. Foreign entities wishing to do business in Wyoming must file an application for authority.
Registered entities must file an annual report with the Secretary of State to maintain good standing. The annual report fee is $60 for entities with assets of $300,000 or less, with a percentage-based fee applying to higher asset values. Nonprofit corporations pay a flat fee of $25. Reports are due on the first day of the entity's registration anniversary month and may be filed up to 120 days in advance. Failure to file can result in administrative dissolution or revocation of authority.
There is no general obligation for private companies to file financial statements with the Secretary of State or any other state authority. Wyoming does not maintain a public repository of financial statements for private business entities.
UBO filing is not required at the state level. Federal BOI reporting with FinCEN applies only to entities that fall within the CTA's current scope (primarily non-exempt foreign entities).
Sole Proprietors
Sole proprietors are not registered with the Secretary of State. They are not required to form a separate legal entity and do not appear in the WyoBiz database unless they have registered a trade name (DBA). No financial filing or UBO reporting obligations apply at the state level.
Nonprofit Corporations
Nonprofit corporations must register with the Secretary of State by filing Articles of Incorporation. They are required to file an annual report (with a $25 fee) and must disclose officer and director compensation in their filings. Nonprofits are not required to report asset values and are not subject to the asset-based license tax that applies to for-profit entities.
Wyoming does not require charitable solicitation registration and does not impose a state income tax on nonprofits. However, nonprofits with federal tax-exempt status must file the appropriate IRS Form 990 annually at the federal level.
Associations and Other Entity Types
Partnerships (limited partnerships and registered limited liability partnerships), statutory trusts, and statutory foundations all register with the Secretary of State. Wyoming also recognizes statutory close corporations. These entities are subject to annual reporting requirements similar to other registered entities.
